J. Elizabeth Cogan Molino

Lizzie Molino primarily represents clients in upstream oil and gas transactions, with a focus on acquisitions and divestitures of oil and gas properties and project development. She has experience negotiating and drafting a broad spectrum of agreements, including purchase and sale agreements, joint operating agreements, joint venture agreements, exploration and development agreements, seismic acquisition agreements and other agreements related to the development of oil and gas assets in domestic and foreign jurisdictions. Lizzie serves on the Advisory Board of the Institute for Energy Law.

Prior to joining Cogan & Partners, Lizzie was a senior associate doing oil & gas work in the Global Projects Group of Baker Botts LLP.  Prior to joining Baker Botts, Lizzie was Associate General Counsel for Seven Networks, Inc. in  Redwood City, CA where she co-handled all legal  matters for a software company of 120 employees including:

 
  • Working with local counsel to create the company’s international legal presence in France, Germany, England, Singapore and Japan.
  • Drafting and negotiating the company’s vendor contracts, contractor agreements, and license agreements.
    Drafting and negotiating foreign and domestic employment contracts and severance agreements; handling all immigration matters for international employees; managing employee grievances.
  • Before law school Lizzie worked in Buenos Aires, Argentina, as a legal assistant in the law firm of Beccar Varela.

  • U.S. energy company—$225 million sale of its exploration and production subsidiary
  • International consortium of oil and gas companies—negotiation of EPC contracts for two train LNG facility in Nigeria
  • European contract drilling company - analyzed and explained risk exposure  under drilling contracts in Gulf of Mexico
  • European energy company—acquisition of offshore oil and gas assets in Gulf of Mexico, including MMS compliance, continued work with co-owners to negotiate midstream and service contracts related to the acquired interests
